ESMA Opens Prospectus Disclosure Consultation Under Listing Act Changes
The European Securities and Markets Authority (ESMA) has released a package of Prospectus Regulation materials to reflect changes made by the EU Listing Act. The package includes a consultation on revised disclosure guidelines, updated questions and answers, final guidelines for supplements that introduce new securities to a base prospectus, and proposed technical standards for key financial information in prospectus summaries.
The consultation seeks views on changes intended to make expected disclosures clearer for issuers and advisers while removing guidance ESMA considers no longer necessary. Responses are due by 9 November 2026. ESMA expects to publish its final report and updated disclosure guidelines in the second quarter of 2027.
For product supplements, ESMA has set out a common approach for assessing whether a supplement adds new securities to a base prospectus. The regulator said the framework is designed to give national authorities and market participants more certainty when submissions are made. Its updated technical standards were submitted to the European Commission for a decision on adoption.
